Terms of Service

1. Agreement and eligibility

These Terms form a binding agreement between you (the individual registering, and the business you represent) and the operator of B2B POINT OF SALE (“we”, “us”).

• You must be at least 18 years old and able to enter a contract.
• If you register for a company, you confirm that you are authorized to act for that business.
• You must provide accurate registration details and keep them up to date.

2. The service

B2B POINT OF SALE is a multi-tenant point-of-sale and inventory platform. We provide software tools for products, sales, purchases, customers, reporting, and related business operations, subject to your selected plan and add-ons.

• Features and capacity limits depend on your subscription plan and approved add-ons.
• We may improve, change, or discontinue features with reasonable notice where practical.
• Beta or preview features may change or be withdrawn without notice.

3. Accounts and security

You are responsible for safeguarding login credentials and for all activity under your account and company workspace.

• Do not share administrator credentials or grant access beyond what your staff need.
• Notify us promptly if you suspect unauthorized access.
• We may suspend access to protect the platform, other customers, or to investigate abuse.

4. Subscriptions, trials, and payments

Paid plans, trials, and add-ons are billed according to the prices and billing cycle shown at checkout.

• Trials are limited and may be restricted to one trial per business or identity.
• Manual payments (for example bank transfer) may remain pending until we verify proof of payment.
• Access may be limited, suspended, or cancelled if payment fails, is reversed, or is rejected.
• Fees are generally non-refundable except where required by law or expressly stated by us in writing.

5. Your business data

You retain ownership of the business data you enter into your workspace (products, sales, customers, inventory, and similar records).

• You grant us a limited license to host, process, and display that data solely to operate the service for you.
• You are responsible for the legality and accuracy of data you upload or process.
• You should export or back up critical records before cancelling your account where possible.

6. Acceptable use

You agree not to misuse the service. Prohibited conduct includes, without limitation:

• Attempting to access another company’s tenant database or confidential data.
• Interfering with security, availability, or performance of the platform.
• Uploading malware, scraping without authorization, or reverse engineering except as allowed by law.
• Using the service for unlawful trade, fraud, or to store illegal content.

7. Intellectual property

The platform software, design, trademarks, and documentation remain our property (or our licensors’). These Terms do not transfer ownership of our intellectual property to you. You may use the service only as permitted under your subscription.

8. Availability and support

We aim to keep the service reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, outages, or third-party failures may temporarily affect access. Support channels and response times may vary by plan.

9. Disclaimer and limitation of liability

The service is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not allowed.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data arising from your use of the service. Our aggregate liability for claims relating to the service is limited to the fees you paid us for the service in the three (3) months before the claim arose.

10. Suspension and termination

You may stop using the service at any time. We may suspend or terminate accounts that breach these Terms, fail to pay, or pose a security or legal risk. Upon termination, your right to access the service ends, subject to any data retention obligations described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law rules. Courts in that jurisdiction shall have exclusive venue for disputes, except where mandatory consumer protections provide otherwise.
